Trading digital assets is a very risky activity that can lead to huge losses. The value of digital assets may be subject to significant fluctuations, because cryptocurrency is not a money issued by any central bank or international organization, and in the vast majority of countries, cryptocurrency is not recognized as currency or legal tender. The majority of digital assets, including cryptocurrencies, are not backed by any other asset. Another risk is associated with price manipulation. Although in our DEX smart contract we set the maximum limit of buying the GCW token (10 BNBs’ worth of GCW tokens), after listing on cryptoassets exchange platforms big investors might still be able to purchase a large amount of GCW tokens, thereby at least theoretically having the opportunity of price manipulation. Moreover, the GCW token might partially or totally lose its value due to fluctuations and unpredictability being characteristic for crypto assets. The GCW token might also partially or totally lose its value if Georgia Cradle of Wine LLC’s business goals partially or totally fail to be accomplished.

From January 1, 2023 the amendments in the Organic Law of Georgia on the National Bank of Georgia became effective. According to these amendments, all virtual asset service providers (VASPS) became subject to the surveillance of the National Bank of Georgia, thereby requiring the crypto license. The Order of the President of the National Bank of Georgia setting out the rules for obtaining the license will be effective from 1 July, 2023. Georgia Cradle of Wine LLC will apply for the license once it has sufficient resources to meet the criteria specified in the Order. The jurisdictions where we are currently unable to obtain the crypto license are listed in the Excluded Jurisdictions list.
